Microforum Appoints Special Committee Of Independent Directors

Toronto, Ontario, Canada    September  28, 2000
Microforum Inc. (TSE:MCF) announced that its Board of Directors has appointed a Special Committee of independent directors to examine certain matters including internal practices at the senior management level of the Company and certain allegations that have been made by the Company’s former Chief Financial Officer involving the Company’s Chief Executive Officer, none of which allegations has been substantiated.

Independent counsel has been retained by the Special Committee to assist in its examination. The Special Committee’s findings will be reported to and acted upon by the Board of Directors in due course.

Howard Pearl, the Company’s Chief Executive Officer, is co-operating fully with the Committee and has volunteered to take paid administrative leave pending the completion of the Special Committee’s examination. As previously announced, Frank Iadipaolo resigned September 21, 2000 as Microforum’s Chief Financial Officer.

Pending the completion of its review, the Independent Committee and the Company will have no further comment on this matter.
